General terms and conditions of sale

These General Terms and Conditions of Sale ("GTCS") are intended to apply between:

Tradee SAS Société par actions simplifiée with a share capital of 267,529 Euros
‍
Registered with the Paris Trade and Companies Registry under number 800 862 112
‍
Whose registered office is located at 10 rue de Penthièvre, 75008 PARIS ("we" or "Tradee")
‍
And:
‍
Anyone wishing to acquire a Watch Certificate either:
‍
online on the https://www platform.watchcertificate.com/ (the "Watch Certificate Platform"), access to which is free and open to all Internet users;

or directly in a Boutique at a Tradee partner Professional Watchmaker ("you" or "the Buyer").

DEFINITIONS
‍
"Boutique "means one or more boutique(s) in one or more City(ies) where the Watch Certificate is offered for sale by Tradee via a Professional Watchmaker.

" Independent Expert "means an authorized Tradee partner whose business is the appraisal of timepieces, and whose mission is to confirm the points of authenticity of the Watch on the basis of Tradee's requirements and the verifications carried out by the Professional Watchmaker during the Rendez-Vous.

" Legislation Applicable to the Protection of Personal Data "Refers to all French and European legislative and regulatory provisions relating to the protection of personal data, including the provisions of the French Data Protection Act n°78-17 of January 6, 1978 as amended ("LIL") and any legislation in force implementing Directives 95/46/EC and 2002/58/EC or the General Data Protection Regulation n°2016/679/EU of April 27, 2016 of the European Parliament and the Council of the European Union ("RGPD").

" Professional Watchmaker" means an authorized Tradee partner whose business is the sale or maintenance of watch parts, being authorized by Tradee to deliver or sell the Watch Certificate to the Buyer in its Boutique(s).

" Watches" refers to the timepiece belonging to the Buyer, for which a Watch Certificate is issued by Tradee.

" Profile" refers to the Buyer's profile on which Watch Certificate information and contact details are stored.

" Rendez-Vous" refers to the appointment in the Boutique between the Professional Watchmaker and the Buyer, intended to carry out an authenticity check of the Watch in person (using photographs and 40 authenticity control points as determined by Tradee).

" City" means the city in which the Buyer can make an Appointment with a Professional Watchmaker in a Boutique and whose list is available on the Watch Certificate Platform at the following url:

"Watch Certificate"
‍
refers to the first digital certificate encrypted using blockchain technology, offered by Tradee on the Watch Certificate Platform to its Buyers, and made up of high-definition photographs of the Watch to be certified and 40 control points enabling its authenticity to be attested, being checked by a Professional Watchmaker and validated by an Independent Expert. The Watch Certificate is materialized by a metal card, equipped with a QR code that allows access to all the watch's authentication information via a smartphone at any time.

SCOPE OF APPLICATION OF THE GTC
‍
The GTC govern the sale of Tradee's Watch Certificate to Buyers who are consumers or non-professionals and, together with the online order or the invoice for the purchase of the Watch Certificate in the Boutique, constitute the contractual documents binding on the Parties, to the exclusion of all other documents, prospectuses, or catalogs which are for information purposes only.

Buyers with the status of professionals are bound by the contractual conditions applicable to holders of a "Professional Account".
‍
The online sales offers presented on the Watch Certificate Platform and these related GTC are reserved for Buyers residing in France and/or in a member country of the European Union and for deliveries in these same geographical areas.
‍
The GTC are drafted as well as all contractual information mentioned on the Watch Certificate Platform in the French language.
‍
‍
AVAILABILITY AND OPPOSABILITY OF THE GTC
‍
Online sales
The GTC are made available to the Buyer on the Watch Certificate Platform where they can be directly consulted. The GCS are enforceable against the Buyer who acknowledges, by ticking a box provided for this purpose during an online sale, that he/she is aware of them and has accepted them before placing an order.
The validation of the order by its confirmation implies the Buyer's acceptance of the GCS in force on the day of the order, the conservation and reproduction of which are ensured by Tradee in accordance with article 1127-2 of the Civil Code (former C. civ., art. 1369-4).

Boutique Sale
The GTC are provided directly to the Buyer by the Professional Watchmaker prior to any conclusion of a sale of the Watch Certificate in Boutique and are enforceable against him subject to their signature prior to the sale.

WATCH CERTIFICATE TERMS OF SALE
‍
Prerequisites - anti-counterfeiting
‍
In order to combat fraudulent transactions and the circulation of counterfeit Watches on the second-hand watch market, the Buyer undertakes to provide Tradee or, where applicable, the Professional Watchmaker, with the following information prior to any Watch Certificate purchase:
‍
Last name and first name(s) E-mail address Valid proof of identity (identity card/passport) Valid bank details in order to proceed with payment
‍
This information is collected by Tradee or directly by the Professional Watchmaker (in the case of Boutique sales) in strict compliance with the Legislation Applicable to the Protection of Personal Data and is necessary for the activation by Tradee of the Buyer's Watch Certificate.
‍
This information, with the exception of the Buyer's bank details to which Tradee never has access, is imputed by Tradee or directly by the Professional Watchmaker (in the context of Boutique sales) on the Buyer's Profile associated with the Watch Certificate.
‍
In order to obtain a Watch Certificate for a Watch, the Buyer must obligatorily own it and/or have the right, where applicable, to sell it.
‍
The Buyer's possession of his Watch and/or the Watch Certificate must not in any way infringe the rights of a third party, must respect intellectual property rights and must not violate any applicable local, national or international law or regulation.

Online sales
‍
Order confirmation
‍
Before clicking on the "Confirm order" button, the Buyer has the opportunity to check the details of his/her order and its total price and to return to the previous pages to correct any errors or possibly modify his/her order.
‍
The Buyer will then be able to acquire the Watch Certificate for the amount of its Price, by finalizing its order by following the steps of Watch Certificate's secure payment service as described below.
‍
Confirmation of the order is subject to the Buyer's prior acceptance of these GTC by means of a checkbox. Acceptance of the GTCS and validation of the order form the contract.
‍
An e-mail acknowledging receipt of the order and payment is sent by Tradee to the Buyer as soon as possible (the "Order Confirmation").
‍
Modification of the order
‍
Any modification of the order by the Buyer after receipt of the Order Confirmation is subject to acceptance by Tradee.
‍
Order validation
‍
Tradee reserves the right to refuse any order for legitimate reasons and more particularly if the quantities of products ordered are abnormally high for buyers having the quality of consumers or non-professionals.
‍
Boutique sales
‍
These GTC constitute the basis of the sale of the Watch Certificate and are systematically given to each Buyer prior to any conclusion of a Boutique sale by the Professional Watchmaker.

The Buyer is required to take cognizance of these GTC and to express his agreement to them under the conditions provided by the Professional Watchmaker in the Boutique.

MODALITIES FOR OBTAINING THE WATCH CERTIFICATE X
‍
Rendez-Vous with a Professional Watchmaker
‍
In the context of the sale of the Watch Certificate in a Boutique, the Rendez-Vous is characterized by the presence of the Buyer in the Boutique.
‍
During the Rendez-Vous, the Buyer undertakes to provide the Professional Watchmaker with his Watch as well as proof of identity and contact details.

The Professional Watchmaker will establish the information on the authenticity of the Watch using high-definition photographs of the Watch to be certified and 40 control points to attest its authenticity, according to the requirements established by Tradee.
‍
At the end of the Rendez-Vous, the Professional Watchmaker will provide the Buyer with the Watch Certificate in the form of a non-activated metal card.
‍
Verification by an Independent Expert
‍
Within a maximum of five (5) working days after the Rendez-Vous, an Independent Expert approved by Tradee will carry out a remote check of the information provided by the Professional Watchmaker on the Buyer's Watch Certificate Profile where the information on the Watch is listed.
If this information complies with the conditions of Tradee's authenticity check, the Independent Expert will validate it.

Activation of the Watch Certificate
‍
Within a maximum of two (2) working days following the validation of the authenticity information of the Watch by the Independent Expert, Tradee will inform the Buyer by email (according to the contact details previously indicated by the Buyer) of the activation of the Watch Certificate corresponding to his Watch.
‍
Compliance of the Watch Certificate
‍
If the Watch Certificate is not activated by Tradee in accordance with the above provisions, the Buyer may send a complaint to Tradee, detailing any non-conformities observed.
In the event of proven non-compliance, Tradee undertakes to reissue a Watch Certificate to the Buyer as soon as possible.

WITHDRAWAL (ONLINE SALES ONLY)
‍
Right of withdrawal
Pursuant to Articles L 221-18 et seq. of the French Consumer Code, the Buyer has a period of fourteen (14) clear days in which to withdraw without giving any reason.
The withdrawal period expires fourteen (14) days after the day on which the Buyer receives the Order Confirmation, in accordance with the provisions of clause IVb.i hereof.
‍
Exception
In the event that the day of the Appointment is fixed between the Buyer and the Professional Watchmaker within less than fourteen days after the Buyer's receipt of the Order Confirmation, the Buyer acknowledges and accepts that his presence at the Appointment entails performance of the service by Tradee and its partners, and expiry of the withdrawal period on the day of the Appointment.

Exercising the right of withdrawal
The Buyer may exercise his/her right of withdrawal by providing Tradee with the following information:
his/her surname, first name(s), postal address and/or e-mail addressHis decision to withdraw from this contract by means of an unambiguous statement (e.g. letter sent by post or e-mail).
The Buyer shall be free to use the model withdrawal form provided by Tradee at the bottom of this page, however its use is not compulsory.
For the withdrawal period to be respected, the Buyer undertakes to transmit its communication relating to the exercise of the right of withdrawal before the expiry of the withdrawal period indicated in clauses VIIa and VIIb above.

Effects of withdrawal
Upon receipt of the Buyer's request for withdrawal, if it complies with the provisions hereof, Tradee undertakes to refund the Price of the Watch Certificate paid by the Buyer without undue delay and, in any event, no later than fourteen days from the day of receipt by Tradee of the request for withdrawal.
Tradee will make the refund using the same means of payment that the Buyer used for the initial transaction, unless the Parties expressly agree to a different means.

If the Watch Certificate is not activated by Tradee in accordance with the above provisions, the Buyer may send a complaint to Tradee, detailing any non-conformities observed.
In the event of proven non-compliance, Tradee undertakes to reissue a Watch Certificate to the Buyer as soon as possible.
‍
WITHDRAWAL (ONLINE SALES ONLY)
‍
Right of Withdrawal

Effects of withdrawal
Upon receipt of the Buyer's request for withdrawal, if it complies with the provisions hereof, Tradee undertakes to refund the Price of the Watch Certificate paid by the Buyer without undue delay and, in any event, no later than fourteen days from the day of receipt by Tradee of the request for withdrawal.
Tradee will make the refund using the same means of payment that the Buyer used for the initial transaction, unless the Parties expressly agree to a different means.

‍PRIXAND PAYMENT
‍
Selling prices
Selling prices, in accordance with Article L. 112-1 of the French Consumer Code, are indicated in euros inclusive of all taxes (TTC).
The method of calculating the price of the Watch Certificate varies according to the market value of the Watch at the time of sale, i.e. :For a Watch whose market value is less than €5,000, the price of the Watch Certificate is €139 inclusive of tax
For a Watch whose market value is between €5,000 and €15,000, the price of the Watch Certificate is €269 inclusive of tax
‍For a Watch whose market value is between €15,000 and €50,000, the price of the Watch Certificate is €439 inclusive of tax
For a Watch whose market value is greater than €50,000, the price of the Watch Certificate is to be defined on a case-by-case basis, please consult us.The total amount due by the Buyer is indicated on the order confirmation page for all online purchases, or on the Watch Certificate purchase invoice for all Boutique sales.
The sale price of the Watch Certificate is that in force on the day of its purchase. In the event of a price promotion, Tradee undertakes to apply the promotional price to any online order placed during the period in which the promotion is advertised.

Exigibilité
Online sales
Payment is made immediately with the order by credit card directly on the Watch Certificate Platform under the conditions described below.
The Watch Certificate Platform is equipped with a secure online payment system enabling the Buyer to encrypt the transmission of his/her bank details. This system is provided by the companies Stripe and PayPal, financial service providers chosen by Watch Certificate.
In this regard, you declare that you authorize Tradee to transmit your bank details to Stripe or PayPal, and that you accept Stripe's or PayPal's terms and conditions.

Shop sales
Payment is made in full directly in the Shop to the Professional Watchmaker, by any means made available to the Buyer by the Professional Watchmaker.
Modification
Tradee reserves the right to modify its prices at any time, while guaranteeing the Buyer the application of the price in force on the day of purchase.
Charges
Where applicable, any transport, delivery or postage charges for which the Buyer may have been liable are indicated on the order confirmation page (online sales) or in advance by the Professional Watchmaker (Boutique sales).

PERSONAL DATA PROCESSING
‍
For any questions or requests relating to our processing of your personal data in connection with the provision of the Watch Certificate, please refer to our Privacy Policy, which we make available to you at the URL https://www.watchcertificate.com/legal/politique-de-confidentialite.

INTELLECTUAL PROPERTY

Verbal and visual trademarks (logos), as well as all visual content accessible on the Watch Certificate Platform, are protected by intellectual property legislation currently in force in France, for the entire world. Tradee is the owner of all rights pertaining thereto.
‍
In this respect and in accordance with the provisions of the Intellectual Property Code, the use of any element of intellectual property belonging to Tradee is only permitted on a private basis.
‍
Consequently, the Buyer may not represent, reproduce, modify or, more generally, exploit all or part of the verbal and visual trademarks (logos), as well as all visual content accessible on the Watch Certificate Platform without the express prior authorization of Tradee.
‍
Any unauthorized exploitation of the verbal and visual trademarks (logos), as well as all visual content accessible on the Watch Certificate Platform, constitutes acts of copyright infringement and/or right of distinctive signs and engages the criminal and civil liability of the Buyer on the basis of copyright infringement and/or right of distinctive signs.

GUARANTEES
‍
Online sales
‍
Tradee undertakes to make every effort to ensure that the Watch Certificate Platform is available 24 hours a day, 7 days a week, regardless of scheduled maintenance operations, subject to the provisions of this article.
‍
Access to the Watch Certificate Platform is provided on an "as is" basis and accessible according to availability.
‍
General

Tradee provides no express or implied warranties, including but not limited to warranties relating to the compatibility of the Watch Certificate for a specific purpose, and the misuse of the Watch Certificate by its Buyers.
‍
LIMITATION OF LIABILITY
‍
Tradee shall not be liable in the event of non-performance or improper performance of this Contract due either to the Buyer's own fault, or to the insurmountable and unforeseeable fault of a third party to the contract, or to force majeure, and in any event Tradee shall not be liable in the event of:

Damages of any kind, direct or indirect, resulting from the use or inability of a Buyer to use the Watch Certificate:

Any operating loss, financial or commercial loss, loss of programs and/or data in particular in a Buyer's information system following use of the Watch Certificate Platform; In the event of damage of any kind, direct or indirect, resulting from the content or temporary inability to access the Watch Certificate Platform, linked to technical maintenance operations or updating of published information;In the event of a virus attack;In the event of abnormal use or illicit exploitation of the Watch Certificate. In this case, the Buyer is solely responsible for any damage caused to third parties and the consequences of any claims or actions that may arise therefrom;In the event of incompatibility between the Buyer's terminal and the Watch Certificate Platform, which would prevent the installation or use of the Watch Certificate Platform.

‍VERSIONIN FORCE AND MODIFICATIONS
‍
The applicable GCS are those whose current version is accessible online on the Watch Certificate Platform on the date of the Buyer's online order, or those communicated by the Professional Watchmaker on the date of the sale in the Watch Certificate Boutique.
‍
Tradee reserves the right, at its sole discretion, to revise these GTC at any time and without notice, and in particular:
‍
By adapting them to legislative or regulatory provisions in force or in the process of being adopted.By adapting them to any decision rendered by a court, a consumer agency or any other competent authority.By rectifying any errors (for example, spelling mistakes or other types of errors that do not in any way alter the meaning of existing sentences) hitherto undetected.
‍
In such a case, the date of the update will be clearly identified at the head of these GTCS. Such modifications are binding on the Buyer as soon as they are posted online.


APPLICABLE LAW - MEDIATION - LITIGATION
‍
These General Terms and Conditions of Sale are governed entirely by French law.
‍
In the event of a complaint or dispute with Tradee, we invite you to first contact Tradee's customer service department on +331 75 85 01 21 from Monday to Friday (except public or bank holidays), from 10am to 6pm, or by e-mail at contact@tradee.com or by post addressed to Tradee at 10 rue de Penthièvre, 75008 PARIS.
‍
In accordance with the provisions of the French Consumer Code concerning the amicable settlement of disputes, in the event of failure to submit a claim to our customer service department, or in the absence of a response from us within two months, you have the option of submitting your dispute relating to the order form or these GTCS to the Consumer Disputes Mediator who will attempt, in complete independence and impartiality, to bring us together with a view to reaching an amicable solution.
‍
Before referring your dispute to a Consumer Mediator, you must send a written complaint to Tradee (and therefore keep written proof of the steps taken).
‍
In addition, referral to a Mediator is only possible within a maximum period of one (1) year from the date of your written complaint to Tradee.
In the absence of an amicable agreement or in the event of refusal of recourse to the mediator and/or refusal of the solution proposed by the mediator, any dispute that cannot be resolved will fall under the exclusive jurisdiction of the French courts of the Buyer's place of domicile, in the absence of an amicable agreement between the Buyer and Tradee.

STOLEN WATCHES

To establish certificates of non-theft, Tradee uses The Watch Register (link Terms & Conditions of Search)
‍
In the event of theft, Tradee uses The Watch Register to carry out recovery procedures, in which case fees may apply (link Terms & Conditions of Register)

en ligne sur la plateforme https://www.watchcertificate.com/ (la « Plateforme Watch Certificate ») dont l'accès est libre et gratuit à tout internaute ;

ou directement en Boutique chez un Horloger Professionnel partenaire de Tradee (« vous » ou « l’Acheteur).

DÉFINITIONS
‍
« Boutique »désigne une ou plusieurs boutique(s) dans une ou plusieurs Ville(s) où le Watch Certificate est mis en vente par Tradee via un Horloger Professionnel.

« Expert Indépendant »désigne un partenaire agréé de Tradee dont le métier est l’expertise de pièces horlogères, et dont la mission est de confirmer les points d’authenticité de la Montre sur la base des exigences de Tradee et des vérifications effectuées par l’Horloger Professionnel lors du Rendez-Vous.

« Législation Applicable à la Protection des Données Personnelles »Désigne l’ensemble des dispositions législatives et réglementaires, françaises et européennes, en matière de protection des données personnelles, en ce compris les dispositions de de la loi Informatique et Libertés n°78-17 du 6 janvier 1978 modifiée (« LIL ») et toute législation en vigueur qui met en œuvre les Directives 95/46/CE et 2002/58/CE ou le Règlement Général sur la Protection des Données n°2016/679/UE du 27 avril 2016 du Parlement Européen et du Conseil de l’Union Européenne (« RGPD »).

« Horloger Professionnel » désigne un partenaire agréé de Tradee dont le métier est la vente ou la maintenance de pièces horlogères, étant autorisé par Tradee à remettre ou à vendre le Watch Certificate à l’Acheteur dans sa ou ses Boutique(s).

« Montres » désigne la pièce horlogère appartenant à l’Acheteur, pour laquelle un Watch Certificate est délivré par Tradee.

« Profil » désigne le profil de l’Acheteur sur lequel sont stockées les informations du Watch Certificate de sa Montre ainsi que ses coordonnées.

« Rendez-Vous » désigne le rendez-vous en Boutique entre l’Horloger Professionnel et l’Acheteur, destiné à effectuer un contrôle d’authenticité de la Montre en mains propres (à l’aide de photographies et de 40 points de contrôles d’authenticité tels que déterminés par Tradee).

« Ville »désigne la ville dans laquelle l’Acheteur peut prendre un Rendez-Vous avec un Horloger Professionnel en Boutique et dont la liste est disponible sur la Plateforme Watch Certificate à l’url suivant :

« Watch Certificate »
‍
désigne le premier certificat numérique encrypté à l’aide de la technologie blockchain, proposé par Tradee sur la Plateforme Watch Certificate à ses Acheteurs, et composé de photographies haute-définition de la Montre à certifier et de 40 points de contrôle permettant d’attester de son authenticité, étant contrôlés par un Horloger Professionnel et validés par un Expert Indépendant. Le Watch Certificate est matérialisé par une carte en métal, dotée d’un QR code qui permet d’accéder à l’ensemble des informations d’authentification de la Montre via un smartphone à n’importe quel moment.

DOMAINE D’APPLICATION DES CGV
‍
Les CGV régissent la vente du Watch Certificate de Tradee aux Acheteurs ayant la qualité de consommateurs ou de non-professionnels et constituent avec la commande en ligne ou la facture d’achat du Watch Certificate en Boutique, les documents contractuels opposables aux Parties, à l'exclusion de tous autres documents, prospectus, ou catalogues qui n'ont qu'une valeur indicative.
‍
Les Acheteurs ayant la qualité de professionnels sont tenus de respecter les conditions contractuelles applicables aux détenteurs d'un « Compte Professionnel ».
‍
Les offres de vente en ligne présentées sur la Plateforme Watch Certificate et les présentes CGV s’y rapportant sont réservées aux Acheteurs résidant en France et/ou dans un pays membre de l'Union Européenne et pour des livraisons dans ces mêmes zones géographiques.
‍
Les CGV sont rédigées ainsi que l'ensemble des informations contractuelles mentionnées sur la Plateforme Watch Certificate en langue française.

‍
DISPONIBILITE ET OPPOSABILITE DES CGV
‍
Vente en ligne
Les CGV sont mises à la disposition de l’Acheteur sur la Plateforme Watch Certificate où elles sont directement consultables. Les CGV sont opposables à l’Acheteur qui reconnaît, en cochant une case prévue à cet effet lors d’une vente en ligne, en avoir eu connaissance et les avoir acceptées avant de passer commande.
La validation de la commande par sa confirmation vaut adhésion par l'Acheteur aux CGV en vigueur au jour de la commande, dont la conservation et la reproduction sont assurées par Tradee conformément à l'article 1127-2 du code civil (ancien C. civ., art. 1369-4).

Vente en Boutique
Les CGV sont directement fournies à l’Acheteur par l’Horloger Professionnel avant toute conclusion d’une vente du Watch Certificate en Boutique et lui sont opposables sous réserve de leur signature préalable à la vente.

MODALITES DE VENTE DU WATCH CERTIFICATE

Conditions préalables – lutte anti-contrefaçon
‍
Afin de lutter contre la réalisation de transactions frauduleuses et la circulation de Montres contrefaisantes sur le marché des montres de seconde main, l’Acheteur s’engage obligatoirement à fournir à Tradee ou, le cas échéant, à l’Horloger Professionnel, les informations suivantes au préalable à tout achat de Watch Certificate :

Ces informations sont collectées par Tradee ou directement par l’Horloger Professionnel (dans le cadre de ventes en Boutique) dans le strict respect de la Législation Applicable à la Protection des Données Personnelles et sont nécessaires à l’activation par Tradee du Watch Certificate de l’Acheteur.
‍
Ces informations, à l’exception des coordonnées bancaires de l’Acheteur auxquelles Tradee n’a jamais accès, sont imputées par Tradee ou directement par l’Horloger Professionnel (dans le cadre de ventes en Boutique) sur le Profil de l’Acheteur associé au Watch Certificate.
‍
Afin d’obtenir un Watch Certificate pour une Montre, l’Acheteur doit obligatoirement en être propriétaire et /ou avoir le droit, le cas échéant, de la vendre.
‍
La possession de sa Montre par l’Acheteur et/ou du Watch Certificate ne doivent en aucun cas violer les droits d’un tiers, doivent respecter les droits de propriété intellectuelle et ne doivent violer aucune loi ou réglementation locale, nationale ou internationale applicable.

Vente en ligne
‍
Confirmation de la commande
‍
Avant de cliquer sur le bouton « Confirmer la commande », l’Acheteur a la possibilité de vérifier le détail de sa commande et son prix total et de revenir aux pages précédentes pour corriger d'éventuelles erreurs ou éventuellement modifier sa commande.
‍
L’Acheteur pourra ensuite acquérir le Watch Certificate au montant de son Prix, en finalisant sa commande en suivant les étapes du service de paiement sécurisé de Watch Certificate tel que décrit ci-dessous.
‍
La confirmation de la commande est soumise au préalable à l’acceptation par l’Acheteur des présentes CGV au moyen d’une case à cocher. L’acceptation des CGV et la validation de la commande forment le contrat.
‍
Un courrier électronique accusant réception de la commande et du paiement est envoyé par Tradee à l’Acheteur dans les meilleurs délais (la « Confirmation de Commande »).
‍
Modification de la commande
‍
Toute modification de commande par l’Acheteur après réception de la Confirmation de Commande est soumise à l'acceptation de Tradee.
‍
Validation de la commande
‍
Tradee se réserve le droit de refuser toute commande pour des motifs légitimes et plus particulièrement si les quantités de produits commandés sont anormalement élevées pour des acheteurs ayant la qualité de consommateurs ou de non-professionnels.
‍
Vente en Boutique
‍
Les présentes CGV constituent le socle de la vente du Watch Certificate et sont systématiquement remises à chaque Acheteur au préalable à toute conclusion d’une vente en Boutique par l’Horloger Professionnel.

L’Acheteur est tenu de prendre connaissance de ces CGV et d’exprimer son accord à celles-ci dans les conditions prévues par l’Horloger Professionnel en Boutique.

MODALITES D’OBTENTION DU WATCH CERTIFICATE
‍
Rendez-Vous chez un Horloger Professionnel
‍
Dans le cadre de la vente du Watch Certificate en Boutique, le Rendez-Vous est caractérisé par la présence de l’Acheteur dans la Boutique.
‍
Lors du Rendez-Vous, l’Acheteur s’engage à fournir à l’Horloger Professionnel sa Montre ainsi qu’un justificatif d’identité et ses coordonnées de contact.

L’Horloger Professionnel établira les informations sur l’authenticité de la Montre à l’aide de photographies haute-définition de la Montre à certifier et de 40 points de contrôle permettant d’attester de son authenticité, selon les exigences établies par Tradee.
‍
Au terme du Rendez-Vous, l’Horloger Professionnel fournira à l’Acheteur le Watch Certificate sous forme de carte métallique non activée.
‍
Vérification par un Expert Indépendant
‍
Dans un délai maximum de cinq (5) jours ouvrés après le Rendez-Vous, un Expert Indépendant agréé par Tradee effectuera un contrôle à distance des informations fournies par l’Horloger Professionnel sur le Profil Watch Certificate de l’Acheteur où sont répertoriées les informations sur la Montre.
Si ces informations sont conformes aux conditions du contrôle d’authenticité de Tradee, l’Expert Indépendant les validera.
‍
Activation du Watch Certificate
‍
Dans un délai maximum de deux (2) jours ouvrés suivant la validation des informations d’authenticité de la Montre par l’Expert Indépendant, Tradee informera l’Acheteur par email (selon les coordonnées préalablement indiquées par l’Acheteur) de l’activation du Watch Certificate correspondant à sa Montre.
‍
Conformité du Watch Certificate
‍
Si le Watch Certificate n'est pas activé par Tradee conformément aux dispositions ci-dessus, l’Acheteur pourra adresser une réclamation à Tradee, en détaillant les éventuelles non-conformités observées.  
En cas non-conformité avérée, Tradee s’engage à rééditer un Watch Certificate à l’Acheteur dans les meilleurs délais.  
‍
RETRACTATION (VENTES EN LIGNE UNIQUEMENT)
‍
Droit de rétractation
En application des articles L 221-18 et suivants du code de la consommation, l’Acheteur dispose d'un délai de quatorze (14) jours francs pour se rétracter sans motif.
Le délai de rétractation expire quatorze (14) jours après le jour de la réception par l’Acheteur de la Confirmation de Commande, conformément aux dispositions de la clause IVb.i des présentes.
‍
Exception
Dans le cas où le jour du Rendez-Vous est fixé entre l’Acheteur et l’Horloger Professionnel dans un délai inférieur à quatorze jours après la réception par l’Acheteur de la Confirmation de Commande, l’Acheteur reconnait et accepte que sa présence au Rendez-vous entraine exécution de la prestation par Tradee et ses partenaires, et expiration du délai de rétractation au jour du Rendez-Vous.
‍
Exercice du droit de rétractation
L’Acheteur peut exercer son droit de rétractation en transmettant à Tradee les informations suivantes :
Son nom, prénom(s), adresse postale et/ou adresse électroniqueSa décision de rétractation du présent contrat au moyen d'une déclaration dénuée d'ambiguïté (par exemple, lettre envoyée par la poste ou courrier électronique).
L’Acheteur aura la liberté d’utiliser le modèle de formulaire de rétractation fournit par Tradee au bas de cette page, cependant l’utilisation de celui-ci n'est pas obligatoire.
Pour que le délai de rétractation soit respecté, l’Acheteur s’engage à transmettre sa communication relative à l'exercice du droit de rétractation avant l'expiration du délai de rétractation indiqué aux clauses VIIa et VIIb ci-dessus.
‍
Effets de la rétractation
A réception de la demande de rétractation de l’Acheteur, si celle-ci est conforme aux dispositions des présentes, Tradee s’engage à rembourser le Prix du Watch Certificate payé par l’Acheteur sans retard excessif et, en tout état de cause, au plus tard quatorze jours à compter du jour de la réception par Tradee de la demande de rétractation.
Tradee procèdera au remboursement en utilisant le même moyen de paiement que celui que l’Acheteur aura utilisé pour la transaction initiale, sauf si les Parties conviennent expressément d'un moyen différent.

PRIX ET PAIEMENT
‍
Prix de vente
Les prix de vente, conformément à l'article L. 112-1 du code de la consommation, sont indiqués en euros toutes taxes comprises (TTC).
Le mode de calcul du prix du Watch Certificate est variable selon la valeur de la Montre sur le marché au moment de la vente, soit :Pour une Montre dont la valeur de marché est inférieure à 5 000 €, le prix du Watch Certificate est de 139€ TTC
Pour une Montre dont la valeur de marché est comprise entre 5 000 € et 15 000 €, le prix du Watch Certificate est de 269€ TTC
‍Pour une Montre dont la valeur de marché est comprise entre 15 000 € et 50 000 €, le prix du Watch Certificate est de 439€ TTC
Pour une Montre dont la valeur de marché est supérieur à 50 000 €, le prix du Watch Certificate est à définir au cas par cas, veuillez nous consulter.Le montant total dû par l’Acheteur est indiqué sur la page de confirmation de la commande pour tout achat en ligne, ou sur la facture d’achat du Watch Certificate pour toute vente en Boutique.
Le prix de vente du Watch Certificate est celui en vigueur au jour de son achat. En cas de promotion par les prix, Tradee s'engage à appliquer le prix promotionnel à toute commande en ligne passée durant la période de la publicité faite pour la promotion.

Exigibilité
Vente en ligne
Le paiement s'effectue immédiatement à la commande par carte bancaire directement sur la Plateforme Watch Certificate dans les conditions décrites ci-dessous.
La Plateforme Watch Certificate est dotée d'un système de sécurisation des paiements en ligne permettant à l’Acheteur de crypter la transmission de ses données bancaires. Ce système est assuré par les entreprises Stripe et PayPal, des prestataires de services financiers choisis par Watch Certificate.
A cet égard, vous déclarez autoriser Tradee à transmettre vos coordonnées bancaires à Stripe ou à PayPal, et vous acceptez les conditions générales de Stripe ou de Paypal.
‍
Vente en Boutique
Le paiement s'effectue en totalité directement en Boutique à l’Horloger Professionnel, par tout moyen mis à disposition de l’Acheteur par l’Horloger Professionnel.
Modification
Tradee se réserve le droit de modifier ses prix à tout moment, tout en garantissant à l’Acheteur l'application du prix en vigueur au jour de son achat.
Frais
Le cas échéant, les frais de transport, de livraison ou d'affranchissement dont l’Acheteur aurait pu être redevable sont indiqués sur la page de confirmation de la commande (vente en ligne) ou à l’avance par l’Horloger Professionnel (vente en Boutique).

TRAITEMENT DES DONNÉES PERSONNELLES
‍
Pour toute question ou demande relative au traitement que nous faisons, dans le cadre de la fourniture du Watch Certificate, de vos données personnelles, nous vous prions de bien vouloir vous référer à notre Politique de Confidentialité que nous mettons à votre disposition à l’URL https://www.watchcertificate.com/legal/politique-de-confidentialite.


PROPRIÉTÉ INTELLECTUELLE

Les marques verbales et visuelles (logos), ainsi que tous les contenus visuels accessibles sur la Plateforme Watch Certificate sont protégés par la législation relative à la propriété intellectuelle actuellement en vigueur en France, et ce pour le monde entier. Tradee est titulaire de l'intégralité des droits y afférent.
‍
A ce titre et conformément aux dispositions du Code de la Propriété Intellectuelle, l’utilisation de tout élément de propriété intellectuelle appartenant à Tradee n’est permise qu’à titre privé.
‍
En conséquence, l’Acheteur ne peut représenter, reproduire, modifier, ni de manière plus générale, exploiter tout ou partie des marques verbales et visuelles (logos), ainsi que tous les contenus visuels accessibles sur la Plateforme Watch Certificate sans autorisation expresse et préalable de Tradee.
‍
Toute exploitation non autorisée des marques verbales et visuelles (logos), ainsi que de tous les contenus visuels accessibles sur la Plateforme Watch Certificate, est constitutive d'actes de contrefaçon de droit d'auteur et/ou droit des signes distinctifs et engage la responsabilité pénale et civile de l’Acheteur sur le fondement de la contrefaçon de droits d'auteur et/ou droit des signes distinctifs.  

GARANTIES
‍
Vente en ligne
‍
Tradee s’engage à faire tous les efforts nécessaires afin de rendre la Plateforme Watch Certificate disponible 24 heures sur 24 et 7 jours sur 7, indépendamment des opérations de maintenance programmées, sous réserve des dispositions du présent article.
‍
L'accès à la Plateforme Watch Certificate est fournie sur la base d'un service « en l'état » et accessible en fonction de sa disponibilité.
‍
Généralités
‍
Tradee ne fournit aucune garantie expresse ou implicite, y compris et sans que cette énumération ne soit limitative, de garanties afférentes à la compatibilité du Watch Certificate à un usage spécifique, et à la mauvaise utilisation du Watch Certificate par ses Acheteurs.
‍
‍
LIMITATION DE RESPONSABILITE
‍
La responsabilité de Tradee ne saurait être engagée en cas d'inexécution ou de mauvaise exécution du présent Contrat due, soit au fait de l'Acheteur, soit au fait insurmontable et imprévisible d'un tiers au contrat, soit à la force majeure, et en tout état de cause Tradee ne saurait être responsable en cas :

De dommages de toute nature, directs ou indirects, résultant de l'utilisation ou de l'incapacité d’un Acheteur à utiliser le Watch Certificate :

De toute perte d'exploitation, perte financière ou commerciale, perte de programmes et/ou de données en particulier dans le système d'information d’un Acheteur suite à l’utilisation de la Plateforme Watch Certificate ; En cas de dommages de toute nature, directs ou indirects, résultant du contenu ou de l’impossibilité d'accéder temporairement à la Plateforme Watch Certificate, liée à des opérations de maintenance technique ou d'actualisation des informations publiées ;En cas d'attaque virale ;En cas d'utilisation anormale ou d'une exploitation illicite du Watch Certificate. L’Acheteur est alors seul responsable des dommages causés aux tiers et des conséquences des réclamations ou actions qui pourraient en découler ;En cas d'incompatibilité entre le terminal de l'Acheteur et la Plateforme Watch Certificate, qui empêcherait l'installation ou l'utilisation de la Plateforme Watch Certificate.

VERSION EN VIGUEUR ET MODIFICATIONS
‍
Les CGV applicables sont celles dont la version en vigueur est accessible en ligne sur la Plateforme Watch Certificate à la date de la commande en ligne de l’Acheteur, ou celles communiquées par l’Horloger Professionnel à la date de la vente en Boutique du Watch Certificate.
‍
Tradee se réserve le droit, à son entière discrétion, de réviser les présentes CGV à tout moment et sans préavis, et notamment :
‍
En les adaptant aux dispositions législatives ou réglementaires en vigueur ou en cours d’adoption.En les adaptant à toute décision rendue par une juridiction, une agence de consommation ou par toute autre autorité compétente.En rectifiant toute erreur (par exemple, des fautes d'orthographe ou d'autres types d'erreurs ne modifiant aucunement le sens de phrases existantes) jusqu’ici non décelée.

Dans un tel cas, la date de la mise à jour sera clairement identifiée en tête des présentes CGV. Ces modifications engagent l’Acheteur dès leur mise en ligne.


DROIT APPLICABLE – MEDIATION - LITIGES
‍
Les présentes Conditions Générales de Vente sont entièrement soumises au droit français.
‍
En cas de réclamation ou de litige avec Tradee, nous vous invitons à vous adresser en priorité au service clientèle de Tradee au +331 75 85 01 21 du lundi au vendredi (sauf jour férié ou chômé), de 10h à 18h, ou par courrier électronique à contact@tradee.com ou postal adressé à Tradee au 10 rue de Penthièvre, 75008 PARIS.
‍
Conformément aux dispositions du Code de la consommation concernant le règlement amiable des litiges, en cas d'échec de la demande de réclamation auprès de notre service client, ou en l'absence de réponse de notre part dans un délai de deux mois, vous avez la faculté de soumettre votre différend relatif au bon de commande ou aux présentes CGV au Médiateur des litiges de la consommation qui tentera, en toute indépendance et impartialité, de nous rapprocher en vue d'aboutir à une solution amiable.
‍
Au préalable à la saisie d’un Médiateur des litiges de la consommation, vous devrez obligatoirement avoir adressé une réclamation écrite à Tradee (et donc garder la preuve écrite des démarches effectuées).
‍
Par ailleurs, la saisie d’un médiateur n’est possible que dans un délai maximum d'un (1) an à partir de la date de votre réclamation écrite à Tradee.
À défaut d'accord amiable ou en cas de refus de recours au médiateur et/ou de refus de la solution proposée par le médiateur, tout litige n’ayant pu être résolu relèvera de la compétence exclusive des tribunaux français du lieu de domicile de l’Acheteur, à défaut d’accord amiable entre l’Acheteur et Tradee.
